Terms of Service

1. Services Overview

Niranjan Yamgar provides the following professional services:

Specific deliverables for each project will be outlined in a separate Statement of Work (SOW) or service agreement.

2. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for approvals, content, or feedback within agreed timelines
• Designate a single point of contact for project communications
• Ensure you have legal rights to any materials (text, images, logos) you provide
• Make timely payments as outlined in Section 4

Delays caused by client inaction may result in project timeline adjustments and/or additional fees.

3. Intellectual Property

3.1 Client Materials

You retain ownership of all materials you provide (content, logos, branding). You grant us a limited license to use these materials solely for completing your project.

3.2 Deliverables

Upon full payment, you receive ownership of final deliverables except for:

• Third-party components (licensed fonts, plugins, etc.)
• Proprietary development frameworks we created
• Any pre-existing code we owned prior to your project

3.3 Portfolio Rights

We retain the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

4. Payments & Fees

4.1 Pricing Structure

Our services are offered under these pricing models:

• Fixed-price projects: Agreed sum for defined scope
• Retainer agreements: Monthly fee for ongoing services
• Hourly work: ₹1,500/hour for additional requests

4.2 Payment Terms

Standard payment terms:

• 50% deposit before work begins
• 50% upon project completion
• Retainers billed monthly in advance

Payments are due within 7 days of invoice. Late payments may incur 1.5% monthly interest.

4.3 Refund Policy

Deposits are non-refundable once work has commenced. If we terminate a project for non-payment, all work remains our property.

5. Project Management

5.1 Communication

Primary communication will occur via email or our project management system. Response times:

• Business days: Within 24 hours
• Weekends/holidays: Next business day

5.2 Revisions

Projects include:

• 2 rounds of revisions for fixed-price projects
• Additional revisions billed at hourly rate

5.3 Scope Changes

Significant changes to project scope require a written change order and may adjust timeline and budget.

6. Warranties & Liabilities

6.1 Service Warranty

We warrant that services will be performed with reasonable skill and care. For websites, we provide 30 days of bug-fixing support post-launch.

6.2 Limitations

We are not liable for:

• Third-party services (hosting, APIs, etc.)
• Client-provided content accuracy
• SEO results (affected by many external factors)
• Consequential or indirect damages

Our maximum liability is limited to fees paid for the affected services.

6.3 Indemnification

You agree to indemnify us against claims arising from your content or misuse of delivered work.

7. Termination

7.1 By Client

You may terminate services with 30 days written notice. Paid fees are non-refundable, and you must pay for work completed to date.

7.2 By Us

We may terminate services for:

• Non-payment of fees
• Abusive behavior
• Illegal project requirements

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Goa, India.

9. General Provisions

9.1 Entire Agreement

These Terms constitute the entire agreement between us regarding the services, superseding any prior agreements.

9.2 Amendments

We may modify these Terms at any time. Continued use of services constitutes acceptance of modified Terms.

9.3 Force Majeure

We are not liable for delays caused by events beyond our reasonable control (natural disasters, internet outages, etc.).

9.4 Severability

If any provision is found invalid, the remaining provisions remain in full effect.
